ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100 CAD), WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.

8. Indemnification

You agree to defend, indemnify, and hold harmless Luxe and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content
• Your conduct in connection with the Service

This indemnification obligation will survive termination of these Terms and your use of the Service.

9. Governing Law and Jurisdiction

These Terms shall be interpreted and governed by the laws of the Province where Luxe is incorporated and the federal laws of Canada applicable therein, without regard to conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the courts having jurisdiction in the Province where Luxe is incorporated, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding.

10. Dispute Resolution

We encourage you to contact us directly to resolve any disputes. If we cannot resolve a dispute through direct communication, you agree to attempt to resolve the dispute through mediation administered by a recognized mediation service in Canada before pursuing any formal legal action.

If mediation is unsuccessful, any remaining disputes shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada, except for disputes relating to intellectual property rights, which may be brought in court.

11. Termination

These Terms remain in effect until terminated by either you or kijumu. You may terminate these Terms at any time by ceasing to use the Service and, if applicable, deleting your account.

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

The following sections will survive termination: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, and Severability.

12. Modification of Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Service and updating the "Last Updated" date at the top of these Terms.

The failure of kijumu to enforce any provision of these Terms will not be deemed a waiver of future enforcement of that or any other provision.

kijumu shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or technical failures.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and kijumu regarding the Service and supersede all prior and contemporaneous agreements, understandings, and communications, whether written or oral.

No waiver, amendment, or modification of these Terms will be effective unless in writing and signed by kijumu.
